	RE:	Valley of Lakes
		Registration No. 87/8-252/1

Dear Mr. Carter:

	On behalf of C.B.G. Limited, the developer of the above-
captioned subdivision, we hereby request a temporary suspension of 
Registration No. 87/8-252/1 for the Valley of Lakes.  The developer 
is endeavoring to obtain refinancing for the project and realizes 
that when such refinancing is obtained, it will constitute a 
material change to the registration necessitating amendments to the 
registration.  Therefore, the developer wishes to suspend the 
registration until such time as the anticipated refinancing is 
obtained.  Once the refinancing is in place, the developer expects 
to re-activate the subdivision registration with your office and 
file the appropriate amendments at that time.

	Please be advised that according to the developer, it has
not made any lot sales since around October 1991 and solicitations 
in New Jersey may have ceased prior to that time.  No marketing,
solicitation or sales will be made to New Jersey residents within 
the State of New Jersey until such time as the registration is 
reactivated and appropriate amendments made to the registration.
